Tyntek to spin off solar unit

Taiwan-based Tyntek, which operates LED, infrared (IR) sensor and solar product lines,
announced today that its solar business will be spun off to form a wholly-owned subsidiary.
A company source claimed the new company will be named “Tynsolar” and will focus on solar module
production, with Motech Industries, Sino-American Silicon Products (SAS) and
Wafer Works being its chief solar cell suppliers. Motech supplies 60% of its total.
The new firm will have an initial capital of NT$100 million, and that capital should increase to
NT$150 million in 2007, said Tyntek.
Tynsolar’s operations will commence on July 31, 2006, and the parent company expects it to be
listed on the Taiwan over the counter (OTC) market by June 2007.
Tyntek’s full-year unconsolidated revenues for 2006 will drop NT$430 million from last year due to
the spin off, and about NT$28 million in operating profits will be lost by the parent company,
Tyntek noted. With Tyntek holding a 100% stake in Tynsolar, the parent company’s consolidated
performance will not be affected though.
The earnings per share (EPS) for Tynsolar is expected to reach NT$7.09 in 2007, up from an
estimate of NT$5.94 for this year, according to market sources.
